1. Introduction

These Terms of Use govern the access to and use of the website, application, products, and services provided by Edusav (the “Platform”).

By accessing, registering an Account, or using the Platform, the User acknowledges that they have read, understood, and agreed to be legally bound by these Terms of Use, together with the Privacy Policy and any other policies, guidelines, or terms issued by Edusav from time to time.

If the User does not agree to these Terms of Use, the User must immediately discontinue accessing and using the Platform.

2. Definitions

For the purposes of these Terms of Use, the following capitalized terms shall have the meanings set forth below:

“Edusav” means PT Omarco Edusav Produk, the owner, operator, provider, and administrator of the Platform.

“Platform” means the website, application, and any other digital platform owned or operated by Edusav through which the Services are made available.

“User” means any individual who accesses, registers an Account on, or uses the Platform.

“Account” means an electronic account created by a User to access certain features and Services available on the Platform.

“Multipass” means a subscription package that may be purchased by a User to obtain a specified number of Passes.

“Pass” means a unit of value or benefit that may be redeemed for eligible products or services available through the Platform.

“Product” means any category of materials made available through the Platform, including Digital Content, electronic vouchers, and any other products offered by Edusav.

“Digital Content” means any digital material made available through the Platform, including but not limited to e-books, videos, audio recordings, learning modules, online courses, electronic vouchers, educational materials, images, written materials, and any other form of digital content.

“Services” means all products, services, features, functionalities, programs, promotions, and other benefits made available by Edusav through the Platform.

3. User Eligibility

The Platform may only be accessed and used by Users who:

  1. are at least eighteen (18) years of age, or have obtained the consent of their parent(s) and/or lawful guardian;

  2. maintain the security and confidentiality of their Account and password;

  3. provide true, accurate, complete, and up-to-date information during the registration process and throughout their use of the Platform; and

  4. comply with all Applicable Laws.

  5. where the User participates in any Promotion, satisfy the eligibility requirements set out in Article 11 and in the Promotion Rules.

By accessing or using the Platform, the User represents and warrants that all of the foregoing eligibility requirements have been satisfied.

4. Account Registration

Certain features of the Platform require the User to register an Account. The User shall provide accurate, current, and complete information and shall ensure that such information remains updated throughout the period of use of the Platform.

The User shall be solely responsible for maintaining the confidentiality and security of the Account, including any password, verification code, or other Account credentials.

All activities conducted through the User's Account shall be deemed to have been carried out by the User.

If the User becomes aware of or reasonably suspects any unauthorized access to or use of the Account, the User shall promptly notify Edusav through the official communication channels available on the Platform so that appropriate measures may be taken.

Edusav reserves the right to refuse any Account registration or to suspend, restrict, or terminate any Account if it determines that:

  1. the information provided is false, inaccurate, or misleading;

  2. the User has engaged in unlawful activities;

  3. the User has misused the Platform or the Services; or

  4. the User has violated these Terms of Use.

5. Services

The Platform provides various digital products and services, including but not limited to:

  1. the purchase of digital products;

  2. the purchase of electronic vouchers;

  3. online classes and educational materials;

  4. E-books;

  5. educational audio and video content;

  6. reward or promotional programs; and

  7. any other digital products or services that may be made available by Edusav from time to time.

Edusav reserves the right, at its sole discretion, to modify, add, remove, suspend, or discontinue any products, services, features, or content available on the Platform at any time.

6. Use of the Platform

Subject to the User's compliance with these Terms of Use, Edusav grants the User a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for the User's personal and non-commercial purposes.

The User shall use the Platform in good faith and in accordance with these Terms of Use and all Applicable Laws.

Nothing in these Terms of Use shall be construed as transferring any ownership rights in the Platform or any Digital Content to the User.

7. User Obligations

While using the Platform, the User shall:

  1. comply with these Terms of Use;

  2. use the Platform responsibly and only for its intended purposes;

  3. maintain the confidentiality and security of the User's Account and all Account credentials;

  4. provide true, accurate, complete, and up-to-date information;

  5. promptly notify Edusav upon becoming aware of any unauthorized use of the User's Account; and

  6. comply with all Applicable Laws.

8. Prohibited Use of the Platform

The User shall not:

  1. use the Platform for any unlawful purpose or in violation of any Applicable Laws;

  2. provide any false, inaccurate, misleading, or fraudulent information;

  3. access or attempt to gain unauthorized access to the Platform, its systems, servers, or networks;

  4. interfere with, disrupt, damage, overload, or otherwise impair the operation or security of the Platform;

  5. introduce or transmit any virus, malware, ransomware, spyware, malicious code, or any other harmful technology;

  6. scrape, crawl, harvest, mine, copy, reverse engineer, decompile, disassemble, or otherwise attempt to obtain the source code or underlying technology of the Platform without Edusav's prior written consent;

  7. use bots, automated scripts, artificial intelligence tools, or any other automated means to access or use the Platform in an unauthorized manner;

  8. upload, post, transmit, distribute, or otherwise make available any content that is unlawful, infringes the Intellectual Property Rights of any third party, is fraudulent, defamatory, hateful, obscene, pornographic, related to gambling, or otherwise violates any Applicable Laws; or

  9. use the Platform in any manner that may cause harm to Edusav, the Platform, or any other User.

If the User violates any provision of this Article, Edusav reserves the right, at its sole discretion and without prejudice to any other rights or remedies available under Applicable Laws, to restrict, suspend, or terminate the User's access to the Platform.

9. Multipass and Pass

Multipass may be purchased at the price displayed on the Platform at the time of purchase.

Upon successful completion of the purchase, the User shall receive the number of Passes corresponding to the selected Multipass package.

Passes may only be redeemed for eligible Products or Services designated by Edusav on the Platform.

Unless otherwise expressly stated by Edusav:

  1. Passes have no cash value;

  2. Passes may not be redeemed or exchanged for cash;

  3. Passes are non-transferable and may not be transferred to another User or Account;

  4. Passes may not be resold or otherwise commercially exploited; and

  5. Passes may be subject to an expiration period as specified on the Platform.

Edusav reserves the right to modify, replace, suspend, or discontinue the list of Products or Services eligible for redemption using Passes at any time.

10. Digital Products and Vouchers

Digital Products available through the Platform may include Digital Content, templates, audio recordings, videos, memberships, electronic vouchers, and other digital products made available by Edusav from time to time.

Electronic vouchers made available through the Platform are issued by merchants or business partners cooperating with Edusav.

The use of any Digital Product or voucher shall be subject to the specific terms and conditions applicable to such Product or the relevant merchant, including but not limited to:

  1. validity period;

  2. redemption procedures;

  3. usage limitations; and

  4. redemption requirements.

Edusav shall not be responsible for any changes, restrictions, suspension, or discontinuation of vouchers or services provided by third-party merchants.

11. Promotions, Prize Draws and Prizes

11.1 Edusav may from time to time operate promotions, prize draws and reward programmes in connection with the purchase of Products or Services (each a “Promotion”).

11.2 Each Promotion is operated under the permit issued to Edusav by the Ministry of Social Affairs of the Republic of Indonesia and in accordance with Applicable Laws. Each Promotion is additionally subject to the specific rules published by Edusav for that Promotion (the “Promotion Rules”), which form part of these Terms of Use. Where the Promotion Rules and these Terms of Use conflict, the Promotion Rules prevail in respect of that Promotion.

11.3 Entry into a Promotion is provided without separate charge in connection with a qualifying purchase. No payment is made, and no consideration is given, for entry into any Promotion.

11.4 Unless the Promotion Rules provide otherwise, Promotions are open only to Users who are resident in the Republic of Indonesia and who are at least eighteen (18) years of age. Edusav may exclude any User from any Promotion where participation would be contrary to Applicable Laws in the User's jurisdiction.

11.5 Edusav determines the method by which winners are selected, and that method is set out in the Promotion Rules. The selection of winners is supervised in accordance with the requirements of the Ministry of Social Affairs. Edusav's determination of entitlement to any prize is final.

11.6 A User selected as a winner must, in order to claim a prize:

  • (a) respond to the notification given by Edusav within the period stated in the Promotion Rules;

  • (b) attend in person at the time and place notified by Edusav, and participate in the award event in accordance with the Promotion Rules published for that event;

  • (c) provide proof of identity and any other information, documentation or verification required by Edusav, by the Ministry of Social Affairs, or by any other governmental, regulatory, tax or law enforcement authority, including information required for identity verification, anti money laundering, counter terrorist financing, sanctions screening and taxation purposes; and

  • (d) comply with any further condition set out in the Promotion Rules.

11.7 If a winner does not satisfy each of the requirements in Article 11.6 within the period stated in the Promotion Rules, or if a winner cannot be contacted or located, or if the information provided is found to be false, incomplete or incapable of verification, the entitlement to the prize is forfeited. A forfeited or unclaimed prize is dealt with in accordance with Applicable Laws, including by surrender to the Ministry of Social Affairs where required.

11.8 Prizes are personal to the winner. Prizes may not be transferred, assigned, sold or exchanged, and no cash alternative is available unless expressly stated in the Promotion Rules.

11.9 All taxes, levies and charges payable in respect of a prize are the responsibility of the winner. Edusav will deduct or withhold any amount required to be deducted or withheld under Applicable Laws, and will remit the same to the relevant authority.

11.10 As a condition of receiving a prize, the winner consents to Edusav and its group companies recording, photographing and filming the award event, and to the use and publication of the winner's name, city of residence, image, voice and likeness in connection with the Promotion and the announcement of results, including as required by the Ministry of Social Affairs and for reasonable publicity purposes, without further payment.

11.11 Edusav may, at its sole discretion and to the extent permitted by Applicable Laws and by the terms of its permit, amend the Promotion Rules, suspend a Promotion, or disqualify any User whom Edusav reasonably believes to have acted fraudulently, dishonestly, in breach of these Terms of Use or the Promotion Rules, or in a manner intended to manipulate the outcome of a Promotion.

11.12 Edusav may verify that a User has made genuine use of the Products and Services purchased. Edusav may restrict, suspend or disqualify any Account where the pattern of purchase indicates that the Account has been used solely to obtain entry into Promotions.

12. Purchases, Payment, and Refunds

Users may purchase Digital Products, electronic vouchers, or other Services available through the Platform in accordance with the purchasing procedures established by Edusav.

Unless otherwise specified, all prices displayed on the Platform are denominated in Indonesian Rupiah (IDR) and may be changed by Edusav at any time without prior notice.

Payments shall be made using the payment methods made available through the Platform or by third-party payment service providers designated by Edusav.

The User shall be solely responsible for ensuring that all payment information provided is accurate, complete, and valid prior to completing any transaction.

A transaction shall be deemed successfully completed only after payment has been received and confirmed by the Platform or the designated payment service provider.

Unless otherwise required by Applicable Laws or expressly provided under Edusav's refund policy, all completed transactions are final and non-cancellable and all payments made are non-refundable.

In the event of a failed transaction, system error, duplicate payment, or any other circumstance resulting in the User not receiving the purchased Product or Service, the User may submit a complaint through Edusav's official communication channels.

Edusav shall investigate the matter and determine the appropriate resolution in accordance with these Terms of Use, its internal policies, and Applicable Laws.

13. License

Subject to these Terms of Use, Edusav grants the User a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Digital Content solely for the User's personal and non-commercial purposes.

Except as expressly permitted under these Terms of Use, the User shall not:

  1. reproduce, duplicate, copy, publish, distribute, or otherwise make available any Digital Content;

  2. sell, lease, rent, lend, assign, sublicense, transfer, or otherwise grant access to any Digital Content to any third party;

  3. modify, adapt, translate, create derivative works from, or commercially exploit any Digital Content; or

  4. remove, alter, conceal, or tamper with any copyright notice, trademark, proprietary notice, or other Intellectual Property Rights notice contained in or displayed on any Digital Content.

Access to Digital Content may be limited based on the type of Product purchased, subscription package, license period, or any other restrictions communicated by Edusav at the time of purchase.

14. Third-Party Services

All Intellectual Property Rights in and to the Platform, including all software, source code, object code, databases, user interfaces, designs, layouts, graphics, trademarks, service marks, trade names, logos, text, images, audio, video, Digital Content, documentation, and all other materials made available through the Platform, are owned by or licensed to Edusav and are protected under Applicable Laws.

Nothing contained in these Terms of Use shall be construed as granting or transferring to the User any ownership or proprietary interest in any Intellectual Property Rights, except for the limited license expressly granted under these Terms of Use.

The User shall not use, reproduce, display, publish, or otherwise exploit any trademark, logo, trade name, or other Intellectual Property Rights belonging to Edusav without Edusav's prior written consent.

15. Third-Party Services

The Platform may provide access to, integrate with, or contain links to websites, applications, products, or services owned or operated by third parties.

The User acknowledges and agrees that the use of any third-party products or services constitutes a separate legal relationship solely between the User and the relevant third party and shall be governed by such third party's applicable terms and conditions and privacy policy.

Edusav neither controls nor assumes any responsibility for the availability, content, security, performance, accuracy, legality, or practices of any third-party websites, products, or services. Access to and use of any third-party services shall be at the User's own risk.

16. Limitation of Liability

To the fullest extent permitted under Applicable Laws, Edusav shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, including but not limited to loss of profits, loss of business opportunities, loss of goodwill, business interruption, loss of data, or any other commercial or economic loss arising out of or in connection with the User's access to, use of, inability to use, or reliance upon the Platform or the Services.

Where Edusav is found liable notwithstanding the foregoing, Edusav's aggregate liability arising out of or relating to any claim under these Terms of Use shall not exceed the total amount actually paid by the User for the Product or Service giving rise to such claim, unless otherwise required by Applicable Laws.

Nothing in these Terms of Use shall exclude or limit any liability that cannot be excluded or limited under Applicable Laws.

17. Suspension and Termination of Account

Edusav reserves the right, at its sole discretion, to restrict, suspend, deactivate, or permanently terminate a User's Account or access to the Platform, with or without prior notice, if:

  1. The User breaches these Terms of Use;

  2. The User provides false, inaccurate, incomplete, or misleading information;

  3. Edusav reasonably suspects misuse, fraud, abuse, or unauthorized use of the Platform;

  4. Such action is requested by a competent governmental authority, regulatory authority, or law enforcement agency; or

  5. Such action is necessary to protect the legitimate interests of Edusav, other Users, or the security, integrity, or operation of the Platform.

The suspension or termination of an Account shall not relieve the User of any obligations or liabilities accrued prior to the effective date of such suspension or termination.

18. Changes to the Services

Edusav reserves the right, at any time and at its sole discretion, to modify, enhance, replace, suspend, discontinue, or remove any feature, functionality, Product, Service, or content available through the Platform.

Unless otherwise required by Applicable Laws, Edusav shall have no obligation to provide prior notice of such changes.

Edusav shall not be liable for any modification, suspension, discontinuation, or removal of any part of the Platform or the Services.

19. Amendments to these Terms of Use

Edusav may amend, revise, supplement, or otherwise update these Terms of Use from time to time to reflect changes in the Platform, the Services, operational requirements, business practices, or Applicable Laws.

The most current version of these Terms of Use will be published on the Platform and shall become effective on the date specified therein or, if no date is specified, upon publication.

The User's continued access to or use of the Platform following the effective date of any amendments shall constitute the User's acceptance of the revised Terms of Use.

20. Governing Law and Dispute Resolution

These Terms of Use shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

In the event of any dispute, controversy, or claim arising out of or relating to these Terms of Use or the User's access to or use of the Platform, the parties shall first endeavor to resolve such dispute through good faith consultation and amicable settlement.

If the dispute cannot be resolved within thirty (30) calendar days from the date on which one party provides written notice of the dispute to the other party, the parties agree to resolve the dispute through a dispute resolution institution, without prejudice to Edusav's right to pursue any other legal remedies available under Applicable Laws.

These Terms of Use are prepared in the Indonesian and English languages. In the event of any inconsistency or difference of interpretation between the two versions, the Indonesian version prevails.

22. Closing Provisions

These Terms of Use shall be governed by and interpreted in accordance with the laws of the Republic of Indonesia.

By accessing or using the Platform, the User acknowledges that the User has read, understood, and agreed to be legally bound by these Terms of Use in their entirety.

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable under Applicable Laws, such provision shall be deemed severable and shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

Failure or delay by Edusav to exercise any right or remedy under these Terms of Use shall not constitute a waiver of such right or remedy.

These Terms of Use constitute the entire agreement between Edusav and the User with respect to the access to and use of the Platform and supersede all prior understandings, agreements, representations, or communications relating to the same subject matter.
